Staffcop Enterprise User License Agreement (EULA) - Version 01.10.2024
1. Introduction¶
Important — read carefully:
This End-User License Agreement (hereinafter referred to as “this EULA”) constitutes a legally binding agreement between you (either as an individual or as a legal entity) and ATOM SECURITY LLC. (hereinafter referred to as “ATOM SECURITY”) concerning the use of the Staffcop Enterprise product (hereinafter referred to as “the Product”), which includes, but is not limited to: (a) all of the contents of the files, disk(s), CD-ROM(s), or other media with which this EULA is provided (collectively referred to as “the Software”); (b) any updates, upgrades, modified versions, patches, enhancements, fixes, modifications, copies, additions, or maintenance releases of the Software (collectively referred to as “the Updates”); and (c) any related user documentation, explanatory materials, or files provided in written, “online,” or electronic form (collectively referred to as “the Documentation”). Collectively, the Software, the Updates, and the Documentation are referred to as “the Product.”
By installing, copying, or otherwise using the Product, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install or use the Product.

BY CLICKING THE “I AGREE” BUTTON, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS EULA, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS. YOUR CLICKING OF THE “I AGREE” BUTTON IS EQUIVALENT TO YOUR SIGNATURE ON A WRITTEN AGREEMENT. IF YOU DO NOT AGREE TO ALL OF THE TERMS OF THIS AGREEMENT, CLICK THE “CANCEL” BUTTON, AND THE PRODUCT WILL NOT BE INSTALLED ON YOUR DEVICE.
2. GRANT OF LICENSE¶
2.1 License Grant¶
Subject to the terms and conditions set forth herein, ATOM SECURITY grants you a non-exclusive, non-transferable license to download, install, backup, and use the Product, including any documentation files or information provided on the accompanying website, on the same network for the period for which you have paid. All rights not expressly granted herein are reserved by ATOM SECURITY. Upon purchase of a license, you will receive a license key, which must be entered into the Software. The license will expire at the end of the paid period or at the conclusion of the trial period.
2.2 License Types¶
Staffcop Enterprise is composed of two components: a server module and a workstation module (agent).
Server Module: You may install and use the Staffcop Enterprise software on a single server hardware device. If the server module is transferred to another hardware device, you must contact ATOM SECURITY via https://staffcop.com.
Workstation Modules: You may install the Staffcop Enterprise agent on multiple workstations (laptops, PCs, tablets, mobile devices, etc.). The number of workstations must not exceed the number specified in your purchase order or invoice.
2.3 Trial Version¶
You may use a limited trial version of the Product free of charge for fifteen (15) days from the date of installation with a trial key. The trial version includes a fixed number of licenses for both the Server and Workstation modules. To continue using the full version of the Product after the fifteen (15) day evaluation period, you must pay the applicable license fee.
2.4. Term and Termination¶
The term of this EULA (hereinafter referred to as “the Term”) shall commence upon your downloading, accessing, installing, or paying the applicable license fees for the Product, whichever occurs first, and shall continue for the duration specified in your order. This EULA will terminate automatically if you fail to comply with any limitations or other requirements described herein. Upon termination or expiration of this EULA, you must immediately cease use of the Product and destroy all copies in your possession.
2.5 No Rights Upon Termination¶
Upon termination of this EULA, you will no longer have any rights to use the Product in any manner.
3. DISTRIBUTION¶
You are not authorized to make copies of the Product or any of its components, provide copies to third parties, or distribute the Product or any of its components in any form (modified or unmodified) via electronic or physical means.
4. Restrictions¶
4.1. Restrictions on Actions with the Product.¶
You shall not:
decompile, disassemble, or perform reverse engineering analysis, as well as create or recreate the source code of the Product;
remove, erase, hide or falsify any copyright or any other product identification or proprietary notices, printing or instructional label, printed or stamped, attached or coded or recorded in any software or documentation; or not retain all copyright and other proprietary notices in all copies of the Software and Documentation produced by the ATOM SECURITY;
rent, lend or use the Software for time sharing or maintenance purposes; sell, resell, license,
sublicense, distribute or otherwise grant to any person or legal entity any right to use the Product, except as expressly permitted in this Agreement; or use the Software to provide, individually or in combination with any other product or service, any product or service to any person or legal entity, whether for a fee or otherwise;
modify, adapt, tamper with, translate or create Derivative works from the Product or Documentation; combine or merge any part of the Product or Documentation with any other software or documentation; or refer to the Product or otherwise use it as part of any software development effort (including any subroutine, script, code, or program) that has any functional attributes, visual expressions, or other functions similar to the Product properties, to compete with ATOM SECURITY;
4.2. Restrictions on the Purpose of Usage.¶
You must not use the Product for any illegal purpose, including but not limited to: obtaining the personal data of other persons, getting unauthorized access to sensitive information belonging to third parties, spying, etc. You undertake full responsibility for notifying your employees, subcontractors, and other parties who may be affected by your usage of the Product, about these restrictions on usage and the possible consequences.
5. SUPPORT SERVICES¶
ATOM SECURITY provides support services related to the Product. The use of these services is governed by the policies and programs outlined in the user manual, online documentation, or other materials provided by ATOM SECURITY, which may be updated at any time. Any supplemental software code or other materials provided as part of the support services shall be considered part of the Product and subject to the terms of this EULA. ATOM SECURITY may use technical information you provide during support interactions for its business purposes, but will not use such information in a way that personally identifies you.
6. PROPERTY RIGHTS¶
All intellectual property rights in the Product, including the source code, are owned by ATOM SECURITY. The Product is licensed, not sold. All title and ownership rights remain with ATOM SECURITY, and you acquire no rights except as expressly stated in this EULA. Any copies of the Product must include the same proprietary notices as the original.
Copyright. The Product and each of its component parts are protected by copyright laws and provisions of international treaty. You acknowledge that no title to the intellectual property in the Product is transferred to you. You further acknowledge that the title and full ownership rights to the Product and each of its component parts will remain the exclusive property of ATOM SECURITY, and you will not acquire any rights to the Product except as expressly set forth in this EULA. You agree that any copies of the Product or any component part of it will contain the same proprietary notices which appear on and in the Product.
Content. The content, including files, links, images and text that are made available or accessible through the Product, is the sole responsibility of the natural or legal person from whom it originated, and is the property of the respective owner. This agreement does not grant any rights to such content. You assume all responsibility for security risks and any damage caused by any content viewed or received using the Product, and ATOM SECURITY LLC. shall not be liable for any damage or loss caused by use or dependence on any content, goods or services or available information through third-party sources regardless of how presented.
7. PAYMENT¶
All sales of licenses are final. Payments made to ATOM SECURITY are non-refundable. The trial version may be used without payment, but the full version requires payment of the license fee.
8. VALIDITY¶
This EULA is effective upon installation of the software and remains valid throughout the usage period. ATOM SECURITY reserves the right to terminate this EULA at any time, including the right to remotely disable the software if you violate the Agreement. Upon termination, you must destroy all copies of the Product.
9. WARRANTIES AND DISCLAIMERS¶
9.1 No Warranties¶
The Product is provided “as is,” without any express or implied warranties, including warranties of merchantability, fitness for a particular purpose, or non-infringement. The risk of use rests with you.
9.2 Limitation of Liability¶
ATOM SECURITY shall not be liable for any indirect, incidental, special, or consequential damages arising from the use or inability to use the Product. Liability, if any, is limited to the amount paid by you for the Product.
10. MISCELLANEOUS¶
10.1 Data Collection¶
The Product does not transfer any data collected during its operation to ATOM SECURITY or any third party. Any technical information shared for support purposes may be used for product improvements.
10.2 Handling of Sensitive Data¶
Upon registering for Product licenses, you must provide certain business and contact information. This data is handled in compliance with applicable regulations. You may request the removal of your contact data at any time, but continued use of the Product may require alternative contact information.
